About Vereinigung Baden-Württembergische Wertpapierbörse

As the sole shareholder, Vereinigung Baden-Württembergische Wertpapierbörse e.V. ensures that Boerse Stuttgart’s strategy and organisation enable it to compete successfully.

Vereinigung Baden-Württembergische Wertpapierbörse e.V. is the umbrella organisation of Boerse Stuttgart Group. Its remit according to the articles of association is to operate exchanges – especially Baden-Württembergische Wertpapierbörse – and over-the-counter trading systems, either directly or indirectly. Another of its tasks is to promote the Stuttgart region and the German federal state of Baden-Wuerttemberg as a financial services centre for the benefit of its citizens and its economy.

While the organisation uses subsidiaries to provide exchange-based trading and over-the-counter trading, it performs the task of promoting the financial centre itself and offers a comprehensive platform under the Stuttgart Financial brand. It receives support in this regard from the Baden-Wuerttemberg Finance Ministry and the Foundation for Credit Services (Stiftung Kreditwirtschaft) at the University of Hohenheim. Stuttgart Financial is expanding the network structures of the financial centre, acting in the common interest of the local financial market players. Its activities are focused on location marketing, research and education, recruitment, and providing support for young companies seeking venture capital financing.

Vereinigung Baden-Württembergische Wertpapierbörse e.V. has 32 members, including credit institutions, issuers, providers of financial services, law firms and organisations generally interested in the advancement of the financial centre. Management

Dr Michael Völter

CEO

Dr Michael Völter (born on 26 December 1962 in Stuttgart) is a qualified banker and lawyer. He is married and has four children.

He began his professional career in 1992 with the audit firm Arthur Andersen. In 1994, he switched to SV SparkassenVersicherung, where he worked in various positions, including in the controlling and corporate planning department and the reinsurance unit. As a member of management, he was responsible for the finance division from 2006 until 2015, with responsibility for investment, accounting, reinsurance and operations.

Dr Michael Völter studied law at the University of Tübingen, Germany. In 1992, he completed a doctorate on the responsibilities of management boards in savings banks. Prior to this, he had trained as a banker at Landesgirokasse in Stuttgart.

He has been Chief Executive Officer of Vereinigung Baden-Württembergische Wertpapierbörse e. V. since 1 March 2015.

Oliver Hans

Oliver Hans (born in 1965) has been Managing Director of Baden-Württembergische Wertpapierbörse – an entity under public law – and of its administrating and operating company since 22 June 2005.

He studied economics at Ruprecht Karl University of Heidelberg, Germany. After various management consultancy positions, he started his career in the stock market sector in 1995 as deputy head of the market surveillance unit at the exchange supervisory authority of the German federal state of Hesse. From April 1998, as head of group, he was responsible for trading surveillance at Deutsche Börse AG and Eurex Deutschland.

On 1 September 2002 he moved to Stuttgart where he headed the trading surveillance office of Baden-Württembergische Wertpapierbörse and acted as compliance officer of Boerse Stuttgart AG. In 2005, Oliver Hans was appointed Managing Director of Baden-Württembergische Wertpapierbörse GmbH.

He has been a member of Management of Vereinigung Baden-Württembergische Wertpapierbörse e. V. since 1 January 2018.

Dr Manfred Pumbo

Dr Manfred Pumbo (born in 1966) has been a member of the Executive Board of Vereinigung Baden-Württembergische Wertpapierbörse e.V. since July 1, 2021. As Chief Financial Officer and Chief Risk Officer, he is also part of the management of Boerse Stuttgart GmbH and the Executive Board of EUWAX AG.

Dr Manfred Pumbo had already been working for Württembergische Versicherung AG since 1995, where he was most recently responsible for controlling and risk management as a general representative. Prior to that, he headed the financial controlling department of the Württembergische insurance companies from 2000 to 2008. At the same time, he headed the Group Controlling and Group Cost Controlling departments at Wüstenrot & Württembergische AG on a temporary basis.

From 2010 to 2020, Dr Manfred Pumbo was a member of the supervisory boards of Boerse Stuttgart GmbH and EUWAX AG.

Dr Manfred Pumbo holds a degree in business administration and completed his doctorate at the Chair of Business Taxation and Auditing at the University of Tübingen.

Dr Matthias Voelkel

Dr Matthias Voelkel (born in 1975) has been a member of the Management Board of Vereinigung Baden-Württembergische Wertpapierbörse e.V. since June 1, 2021. He leads the digital business activities of Boerse Stuttgart Group and is Chief Operating Officer. He is also Chairman of the Management Board of Boerse Stuttgart Digital Holding GmbH and Boerse Stuttgart Digital Ventures GmbH.

Prior to this, Dr Matthias Voelkel joined McKinsey in 2006, was elected partner in 2013 and became leader of the global Capital Markets Infrastructure and Exchanges Practice in 2014. Before joining McKinsey, he was an advisor to the Chairwoman of the European Parliament's Committee for Budgetary Control from 2002 to 2004.

Dr Matthias Voelkel holds a PhD in law and studied at the University of Freiburg, the University of Oxford and the University of Heidelberg. He completed his legal clerkship at the law firm Freshfields Bruckhaus Deringer and the German Embassy in the USA, among others.

Executive Committee

The Executive Committee consists of up to nine members: the chairperson of the Board of Trustees and up to eight other members of the Board of Trustees who are appointed by its members. The chairperson of the Board of Trustees chairs the Executive Committee, as provided by the articles of association.

The Executive Committee advises and supervises the Management team. The Committee reports on its activities at the ordinary General Meeting.

Board of Trustees

The Board of Trustees consists of up to 18 members, who are appointed by the General Meeting on the proposal of the incumbent members of the Board of Trustees. Its main duties are to appoint the members of the Executive Committee, to make decisions regarding the admission of new members, to approve the annual financial statements, and to determine the regular membership fees and the admission fees.

General Meeting

The members of the Association meet once a year for an ordinary General Meeting, which is called by the Management team. The competencies of this meeting include the election of the members of the Board of Trustees; discharge of the Management team, Executive Committee and Board of Trustees; acceptance of the annual financial statements and business plan; and amendment of the articles of association.
